Consulting Services Terms and Conditions

Pismo Ventures Coaching, Consulting and Mentoring Service (the “Service”) provides founders and business executives with coaching and mentoring related to their business. the Service may cover a variety of topics depending on what the business needs and what the person being coached desires.  Topics that may be discussed may include but not limited to the following: Business Strategy, Capital Raise, Financial Strategy, Product-Market-Fit, Business Model, Go-To-Market Strategy, Valuation, Terms, Pitch Deck, Value Proposition, Executive Summary, Funding Preparation, Scalability and Growth.

• The Service is based on a monthly subscription paid via automatic payment recurring on a monthly basis.
• Subscription may be canceled anytime.
• Sales are final, no refunds, no exceptions.
• Canceled subscriptions remain active until the upcoming renewal, but will not renew at next renewal.
• Service time must be scheduled at least 1 week in advance.
• Service time slots are available to schedule either 1 hour at a time or 2 hours at a time.  Partial hours are not available.
• Service is provided via video or telephone conferencing.  Other options may be available and may require additional time to arrange.
• Nonrecurring one-time purchase unused time expires 30 days after original date of purchase where such unused time will be forfeited.
• Recurring subscription unused service time during the monthly subscription period rolls over automatically to the following month subscription as long as the subscription is active and paid via automatic monthly recuring subscription.  All accumulated time will be forfeited if the subscription is canceled.
• Time rolled over may not exceed a maximum of 3 months of monthly subscription time. Exceeded time will be forfeited. Example if the monthly subscription is for 5 hours per month, rolled over time may not exceed a total of 15 hours (anything over 15 hours rolled over will be lost and forfeited).
• You may not use more than twice the Service monthly subscription time in a single month/subscription period. Example, if the monthly subscription is for 5 hours, you may not use more than 10 hours (of base subscription time plus rolled over time) of Service in a month period.
• You hereby release, waive, discharge, and hold harmless Pismo Ventures and anyone who acts in any role, advises, assists, or otherwise performs any act in connection with this Service, and each of their respective subsidiaries, affiliates, partners, agents, successors, assigns, employees, officers, directors, and other representatives from any liability, injury, or damage whatever, whether direct or indirect and whether negligent or intentional, that relates in any way to (i) the Service, (ii) any act or omission by anyone in connection with the Service.
• Pismo Ventures reserves the right, in its sole discretion, for any reason whatever or for no reason, to (i) cancel, terminate, modify or suspend the Service or (ii) restructure the Service. By using the Service you agree to receive email newsletters periodically and communication from Pismo Ventures. You can opt-out of receiving this communication at any time by clicking the unsubscribe link in the newsletter.
• THIS SERVICE IS GOVERNED BY THE LAWS OF CALIFORNIA, UNITED STATES OF AMERICA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of receiving this Service, you agree that any and all disputes which cannot be resolved between the parties and all claims or causes of action arising out of or connected with the Service shall be resolved individually, without resort to any form of class action, exclusively before a court located in Orange County, California. Further, you hereby waive any and all right to seek, claim, or receive punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than your actual out-of-pocket expenses incurred in receiving this Service, and you further waive all rights to have damages multiplied or increased.
